These Terms and Conditions (“Terms”) govern your access to and use of the ShedTheMusic website, teacher portal, student portal, subscription services, curriculum materials, videos, lesson pages, downloadable resources, classroom tools, embedded applications, and any related services provided, hosted, sold, or administered by ShedTheMusic LLC (“ShedTheMusic,” “Shed,” “we,” “us,” or “our”).
By accessing the Website, purchasing a subscription, requesting a quote, using a teacher account, using a student account, accessing any curriculum materials, or otherwise using the services, you agree to these Terms.
Please read these Terms carefully. If you do not agree, you may not access or use the Website, portals, subscriptions, curriculum, or Materials.
1. ShedTheMusic as Customer-Facing Provider
ShedTheMusic LLC is the customer-facing provider, host, payment processor, subscription administrator, access provider, and platform operator for the Website and Materials made available through the Website.
Some Materials available through ShedTheMusic may be created, authored, co-authored, owned, licensed, or contributed by third-party authors, curriculum partners, licensors, contractors, or contributors. This may include materials made available under product names such as Electronic Music Elements, Production Through Performance, Rewire Music Theory, Rewire Guitar, and other curricula or classroom tools.
Regardless of authorship or ownership of any particular curriculum or resource, the customer relationship, subscription access, hosting, billing, and account administration are handled by ShedTheMusic LLC, unless a separate written agreement states otherwise.
2. Definitions
For purposes of these Terms:
“Website” means the ShedTheMusic website, teacher portal, student portal, subscription platform, lesson pages, classroom tools, embedded applications, and related online services.
“Materials” means all curriculum materials, lesson plans, videos, audio files, project files, written content, worksheets, rubrics, teacher guides, student-facing pages, teacher-facing pages, embedded tools, classroom applications, downloadable resources, templates, and any related educational content provided through the Website.
“Subscription” means paid access to one or more curricula, tools, portals, or Materials for a defined subscription period.
“Customer” means the school, district, teacher, administrator, organization, or individual purchasing, accessing, or using the Website or Materials.
“Users” means all teachers, students, administrators, staff members, facilitators, contractors, or other individuals accessing the Website or Materials under a Customer’s subscription.
“Individual Contributors” means any individual authors, co-authors, creators, curriculum developers, video presenters, instructors, contractors, licensors, contributors, employees, owners, members, managers, or agents whose work, likeness, voice, image, name, ideas, curriculum materials, software, videos, lesson content, or other contributions appear in or support the Website or Materials.
3. Subscription and Term
3.1 Subscription Access
ShedTheMusic provides subscription-based access to the Website and Materials. Access is granted only for the curriculum, product, license, seat count, school, classroom, district, or subscription plan purchased or approved by ShedTheMusic.
3.2 Subscription Period
Unless otherwise stated in a quote, invoice, purchase order, written agreement, or product description, the standard subscription period runs from August 1 through July 1 of the following year or another term specified by ShedTheMusic in writing.
3.3 Subscription Fees
Customer must pay the applicable subscription fee shown on the Website, quote, invoice, purchase order, or other written sales document. Subscription fees are non-refundable unless otherwise stated in writing by ShedTheMusic or required by applicable law.
3.4 Account Access
Customer is responsible for making sure only authorized Users access the Website or Materials. Customer may not share login credentials outside the authorized school, classroom, district, organization, or subscription scope.
4. Ownership and Use of Materials
4.1 Ownership
All Materials provided through the Website are owned by ShedTheMusic LLC, its licensors, its curriculum partners, its contributors, or other rights holders. ShedTheMusic and its licensors retain all intellectual property rights in the Materials, including copyrights, trademarks, trade secrets, design rights, software rights, video rights, audio rights, lesson structures, curriculum sequences, and related proprietary rights.
Customer receives only a limited right to access and use the Materials during the active Subscription period.
4.2 Licensed or Co-Created Materials
Some Materials may be owned, co-owned, authored, co-authored, licensed, or contributed by individuals or third-party curriculum partners. Those Materials are made available to Customer through ShedTheMusic as the hosting, sales, subscription, and access platform. No ownership rights are transferred to Customer.
4.3 Permitted Use
Customer and authorized Users may use the Materials only for internal educational purposes during the active Subscription period and only within the scope of the purchased license.
4.4 Restrictions
Customer and Users may not, without prior written permission from ShedTheMusic:
copy, reproduce, publish, distribute, sell, sublicense, or publicly post the Materials;
modify, adapt, remix, translate, or create derivative works from the Materials;
remove copyright notices, branding, attribution, watermarks, or ownership notices;
share login credentials with unauthorized users;
upload Materials to public websites, shared drives, AI tools, social media, learning platforms, or other systems not authorized by ShedTheMusic;
use the Materials to create or support a competing curriculum, product, platform, course, or service;
reverse engineer, decompile, scrape, copy, extract, or attempt to discover source code, embedded logic, platform structure, or proprietary technical details;
use the Materials outside the authorized school, classroom, district, subscription, or license scope.
5. Educational Use and School Responsibility
The Materials are educational resources designed to support music education, music technology instruction, classroom activities, teacher planning, and student learning.
Customer is responsible for:
reviewing the Materials for suitability before use;
determining whether the Materials are appropriate for its students, grade levels, community standards, policies, and instructional goals;
supervising students and classroom implementation;
complying with school, district, state, and federal policies;
obtaining any parent, guardian, media, technology, or student permissions required by Customer’s policies or applicable law;
ensuring that any student use of the Website or Materials is properly supervised.
ShedTheMusic does not guarantee any particular educational outcome, student performance outcome, funding result, certification result, curricular approval, administrative approval, or student achievement result.
6. Student Accounts, Privacy, and Data
Customer is responsible for determining whether student accounts, student logins, classroom accounts, or other access methods comply with Customer’s policies and applicable laws.
ShedTheMusic will use reasonable efforts to handle student information in accordance with its Privacy Policy and any applicable written agreement with Customer. Customer may not provide student information to ShedTheMusic unless Customer has authority to do so.
Unless otherwise agreed in writing, Customer is responsible for:
obtaining required school, district, parent, or guardian approvals;
ensuring that student use is authorized;
monitoring student access;
notifying ShedTheMusic of required data restrictions;
requesting deletion or correction of student data where applicable.
ShedTheMusic may use de-identified or aggregated usage information to improve the Website, Materials, customer support, and instructional design, provided that such information does not identify individual students.
7. User Conduct
Customer and Users agree to use the Website and Materials only in lawful, appropriate, and authorized ways.
Customer and Users may not:
interfere with the Website or Materials;
attempt unauthorized access;
upload malicious code or harmful content;
use the Website or Materials for unlawful, harassing, abusive, discriminatory, defamatory, or infringing activity;
misuse student information;
violate the rights of ShedTheMusic, its licensors, Individual Contributors, other customers, students, or third parties.
ShedTheMusic may suspend or terminate access if it determines that Customer or any User has violated these Terms or created risk to the Website, Materials, other users, students, or ShedTheMusic.
8. No Professional, Legal, Medical, Therapeutic, or Safety Advice
The Materials are educational resources. They are not legal, medical, therapeutic, psychological, counseling, safety, compliance, or professional advice.
Customer is solely responsible for classroom supervision, student well-being, school safety policies, accommodations, accessibility requirements, local implementation decisions, and any decisions involving student health, safety, discipline, or support.
9. Third-Party Platforms and Tools
The Website or Materials may include links to, embeds from, integrations with, or references to third-party platforms, tools, websites, applications, videos, files, or services.
ShedTheMusic is not responsible for third-party platforms, content, outages, policy changes, data practices, pricing changes, access restrictions, or technical issues outside ShedTheMusic’s control.
Customer and Users are responsible for complying with any applicable third-party terms.
10. No Personal Liability of Individual Authors, Creators, Contributors, or Licensors
Customer agrees that its subscription, access, and use relationship is with ShedTheMusic LLC as the customer-facing provider, host, seller, payment processor, subscription administrator, and access provider.
To the fullest extent permitted by law, Customer agrees that no Individual Contributor shall have personal liability for any claim, dispute, loss, damage, injury, cost, expense, or liability arising out of or relating to:
the Website;
the Materials;
any curriculum, lesson, video, audio file, worksheet, project, classroom tool, or embedded resource;
any subscription, quote, invoice, payment, access issue, account issue, or platform issue;
any classroom use, implementation, misuse, interpretation, modification, or adaptation of the Materials;
any claim based on authorship, co-authorship, contribution, presentation, likeness, voice, name, image, curriculum development, software contribution, or instructional participation.
Customer agrees that any claim arising from or relating to access to the Website or Materials must be brought, if at all, against ShedTheMusic LLC as the contracting and customer-facing provider, and not against any Individual Contributor, except to the extent such limitation is prohibited by applicable law.
Customer further agrees not to sue, name as a party, or seek damages from any Individual Contributor for claims arising out of or relating to the Website or Materials, except to the extent such waiver is prohibited by applicable law.
This section is intended to protect individual authors, creators, co-creators, curriculum developers, licensors, contractors, video presenters, instructors, employees, owners, members, managers, agents, and contributors from personal liability for customer claims related to the Website or Materials.
11. Released Parties
For purposes of these Terms, the “Released Parties” include:
ShedTheMusic LLC;
ShedTheMusic’s owners, members, managers, officers, employees, contractors, agents, representatives, successors, and assigns;
ShedTheMusic’s licensors, curriculum partners, authors, co-authors, creators, contributors, instructors, video presenters, software developers, and content providers;
Individual Contributors;
authorized hosts, platform providers, distributors, and resellers, to the extent claims arise from Customer’s use of the Website or Materials.
The protections, disclaimers, limitations of liability, releases, indemnities, and waivers in these Terms apply to all Released Parties to the fullest extent permitted by law.
12. Indemnification
Customer agrees to defend, indemnify, and hold harmless the Released Parties from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Customer’s or Users’ access to or use of the Website or Materials;
Customer’s or Users’ breach of these Terms;
Customer’s or Users’ violation of law, school policy, district policy, or third-party rights;
Customer’s or Users’ misuse, modification, copying, distribution, or unauthorized sharing of the Materials;
Customer’s classroom implementation, supervision, or use of the Materials;
student use, student conduct, or student access under Customer’s subscription;
Customer’s failure to obtain required permissions, approvals, consents, or authorizations;
claims arising from materials, content, data, information, or instructions provided by Customer or Users.
13. Disclaimer of Warranties
The Website and Materials are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, the Released Parties disclaim all warranties, express or implied, including but not limited to:
implied warranties of merchantability;
fitness for a particular purpose;
non-infringement;
accuracy;
completeness;
uninterrupted access;
error-free operation;
security;
compatibility with Customer’s devices, networks, school systems, student devices, or third-party platforms;
suitability for any particular curriculum, school, grade level, student, legal requirement, funding source, approval process, or educational standard.
ShedTheMusic does not warrant that the Website or Materials will meet Customer’s expectations, produce specific educational outcomes, satisfy any particular school or district requirement, or remain available without interruption.
14. Limitation of Liability
To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including but not limited to:
lost profits;
lost revenue;
lost instructional time;
lost data;
lost goodwill;
substitute curriculum costs;
technology replacement costs;
business interruption;
school disruption;
reputational harm;
damages arising from classroom implementation, student use, or third-party platforms.
To the fullest extent permitted by law, the total liability of ShedTheMusic LLC and all Released Parties combined for any claim arising out of or relating to the Website, Materials, subscription, or these Terms shall not exceed the amount actually paid by Customer to ShedTheMusic for the applicable subscription during the twelve (12) months preceding the event giving rise to the claim.
Customer agrees that this limitation of liability applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statutory claim, equity, or any other theory.
15. Customer’s Sole Remedy
Customer’s sole remedy for dissatisfaction with the Website, Materials, subscription, access, or services is to stop using the Website and Materials and, where applicable, request cancellation or non-renewal according to ShedTheMusic’s policies.
No Individual Contributor shall be responsible for refunds, credits, platform access, customer service, subscription administration, school implementation, or any customer-facing obligation.
16. Termination or Suspension
ShedTheMusic may suspend, limit, or terminate Customer’s or any User’s access to the Website or Materials at any time if ShedTheMusic determines that:
Customer or a User violated these Terms;
payment is not received;
unauthorized sharing or misuse occurred;
continued access creates legal, privacy, security, operational, or platform risk;
Customer’s subscription expired;
termination or suspension is otherwise necessary to protect ShedTheMusic, other users, students, the Materials, or the Website.
Upon termination or expiration, Customer and Users must stop accessing and using the Website and Materials, except to the extent otherwise agreed in writing.
17. Resellers, Distributors, and Purchase Orders
Some subscriptions or Materials may be purchased through authorized resellers, distributors, school procurement systems, or third-party vendors.
Unless otherwise stated in a separate written agreement, the use of the Website and Materials remains subject to these Terms even if payment is processed through a reseller or distributor.
Reseller or distributor involvement does not transfer ownership of the Materials to Customer and does not create personal liability for any Individual Contributor.
18. Purchase Orders and Conflicting Terms
Customer purchase orders, procurement documents, vendor forms, district forms, or other customer documents are accepted only for administrative convenience.
Any terms in Customer’s purchase order or procurement document that conflict with these Terms are rejected unless expressly agreed in a separate written agreement signed by ShedTheMusic.
19. Branding, Attribution, and Curriculum Names
ShedTheMusic may identify curricula, products, authors, contributors, co-creators, instructors, or curriculum partners for attribution, marketing, product description, or educational context.
Any such identification does not create a contract between Customer and any Individual Contributor and does not make any Individual Contributor personally responsible for customer-facing obligations, hosting, access, payment processing, support, refunds, implementation, or liability.
20. Assignment
Customer may not assign or transfer these Terms, its subscription, login credentials, account access, or rights to use the Materials without prior written consent from ShedTheMusic.
ShedTheMusic may assign, transfer, subcontract, delegate, or otherwise arrange for hosting, payment processing, administration, support, distribution, or access services as needed, provided Customer’s access rights remain subject to these Terms.
21. Changes to Terms
ShedTheMusic may update these Terms from time to time. Updated Terms will be posted on the Website with a revised “Last Updated” date.
Continued use of the Website or Materials after updated Terms are posted constitutes acceptance of the updated Terms.
22. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms, the Website, Materials, subscription, or Customer’s use of the Website or Materials shall be brought exclusively in the state or federal courts located in [County], Illinois, unless another venue is required by applicable law or agreed in a separate written agreement signed by ShedTheMusic.
Customer consents to the personal jurisdiction and venue of those courts.
23. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
Any invalid, unlawful, or unenforceable provision shall be interpreted or modified to the minimum extent necessary to make it valid, lawful, and enforceable.
24. No Waiver
ShedTheMusic’s failure to enforce any provision of these Terms shall not be considered a waiver of that provision or of ShedTheMusic’s right to enforce it later.
25. Entire Agreement
These Terms, together with any applicable quote, invoice, written subscription terms, Privacy Policy, Data Processing Agreement, or other written agreement signed by ShedTheMusic, constitute the entire agreement between Customer and ShedTheMusic regarding access to and use of the Website and Materials.
These Terms supersede any prior or contemporaneous understandings, communications, or agreements regarding the same subject matter, except for separate written agreements signed by ShedTheMusic.

27. Acceptance
By accessing or using the Website, subscribing to the service, requesting a quote, submitting a purchase order, creating an account, logging into a teacher or student portal, or using any Materials, Customer acknowledges that Customer has read, understood, and agrees to be bound by these Terms.
